Organisation over 20 weeks
Four 5-week blocks (4 weeks of classes, 1 week of assessment). The two course units are taken unchanged from the original degree: same content, same assessments.
- Blocks 1 and 2 (weeks 1 to 10): CMP 422 — Public Procurement and Project Contracts
- Blocks 3 and 4 (weeks 11 to 20): FPJ 532 — Setting Up Funded Projects and Public-Private Partnerships
CMP 422 - Public Procurement and Project Contracts
In the sub-region, a public project depends to a large extent on its contracts. The course unit enables the project manager to plan and monitor the award and performance of contracts, and to make the contracts of any project in the OHADA area legally secure.
Learning outcomes
- Apply the rules of the Code des marchés publics (Public Procurement Code) to the planning, award and monitoring of the performance of a project's contracts.
- Draft the technical documents of a tender dossier and analyse bids against predefined criteria.
- Analyse the clauses of a project contract (public contract, subcontracting, consortium) and assess their risks.
- Identify the appropriate method of dispute resolution for a contractual dispute.
Content
- Regional framework: directive n°04/2005/CM/UEMOA du 9 décembre 2005 (WAEMU directive on the award, performance and settlement of public contracts and public service delegations) and directive n°05/2005/CM/UEMOA (WAEMU directive on control and regulation).
- Code des marchés publics (décret n°2022-2295 du 28 décembre 2022), to be checked against any amendments; role of the ARCOP, formerly ARMP, governed by décret n°2023-832.
- Procurement plan, procurement methods, tender dossier, bid evaluation, award and appeals, studied from the text of the Code.
- Contract performance: service orders, amendments, acceptance, penalties, payments, to be studied from the text of the Code and from the contract documents.
- Procedures of technical and financial partners where they apply: methodical reading of the documents published by each funder.
- Private-law contracts in a project: contract for works and services, subcontracting, consortia and OHADA economic interest groupings; price, time, penalty, guarantee and ownership-of-results clauses; protection of innovations resulting from the project under the Accord de Bangui (Bangui Agreement) (OAPI), to be studied from the text.
- Dispute resolution: negotiation, mediation and arbitration under the Acte uniforme relatif à la médiation (Uniform Act on Mediation) and the Acte uniforme relatif au droit de l'arbitrage (Uniform Act on Arbitration Law) (Conakry, 23 November 2017); role of the CCJA.
Assessment: Project (50%): procurement plan and technical documents of a tender dossier for a given project, with a bid evaluation grid. Final examination (50%): case on the performance of a contract and analysis of a project contract. Same arrangements on campus and online.
